In December 2022, our clients Blackstone Infrastructure Partners and Edizione successfully completed their offer to take-private all of the shares in Italian headquartered global infrastructure operator, Atlantia S.p.A., in a deal worth c. USD 50 billion.
Steer provided advice to Blackstone and Edizione throughout the transaction process, with a principal focus on the airport assets of Atlantia, and in particular Aeroporti di Roma (consisting of Rome Fiumicino and Ciampino airports).
Our advice covered assessment of the future prospects for air traffic volumes, aeronautical and non-aeronautical revenues, along with formulation of a capital investment plan to support the forecast evolution of passenger and aircraft activity. We also undertook a detailed review of the economic regulation arrangements covering Aeroporti di Roma and Nice airport.
